I get this warning on build links in the VS2012 Winforms project. In this case, the links are for the Infragistics controls used by the application, which are located in the bin folder.
This problem was discussed in the following link, but the answer ("set the assembly property") does not work, since the Action Action property does not exist for reference assemblies in VS2012.
VS2005: Assembly '<assembly>' is incorrectly specified as a file.

You are probably referencing the wrong assembly.
