How to migrate from mysql 5.1 to 5.5?

Question

I just transfer from 5.1 to 5.5. I am copying my data from mysql5.1 data file to mysql5.5 / data.

I am just wondering if I can overwrite the ibdata1 file in mysql 5.5 data directory?

Yes, I can copy from 5.1 to 5.5, and then I need to run mysql_upgrade

Have you visited the frequency of MySQL 5.5 FAQ: Migration in the reference guide? They have a special page devoted to the transition from 5.1 to 5.5 with a step-by-step guide (including creating a backup copy).
